Terms of Service

By creating an account, accessing, or using our Services, you confirm that you are at least 18 years of age, have the legal authority to enter into this agreement on behalf of yourself or your organization, and agree to be bound by these Terms and our Privacy Policy.

If you are using ScapeHQ.green on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you must not use our Services.

We reserve the right to update these Terms at any time. We will provide at least 14 days' notice of material changes via email or in-app notification. Continued use after the effective date constitutes acceptance of the revised Terms.

ScapeHQ.green is a cloud-based business management platform designed for landscaping companies. The Services include, but are not limited to:

• Customer relationship management (CRM) and lead tracking
• Job scheduling and crew management
• AI-assisted quote and proposal generation
• Invoicing and payment processing integrations
• Route optimization and field operations management
• Reporting, analytics, and business insights

We reserve the right to modify, suspend, or discontinue any feature or aspect of the Services at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of Services.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

• Provide accurate, current, and complete information during registration and keep it updated
• Immediately notify us of any unauthorized use of your account at security@scapehq.green
• Not share your login credentials with individuals outside your organization
• Not use the Services for any unlawful purpose or in violation of these Terms
• Not attempt to reverse engineer, decompile, or extract source code from the platform

You may invite team members to your account under your subscription plan. You are fully responsible for the actions of all users operating under your account.

ScapeHQ.green offers subscription-based pricing. By selecting a paid plan, you authorize us to charge your designated payment method on a recurring basis (monthly or annually, depending on your selection).

• Billing Cycle: Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.
• Price Changes: We will give you at least 30 days' advance notice of any price changes. Continued use after the effective date constitutes acceptance.
• Refunds: Payments are non-refundable except where required by law. Annual subscribers who cancel within 14 days of renewal may request a prorated refund.
• Failed Payments: If payment fails, we will attempt to retry for up to 7 days. If the issue is not resolved, your account may be suspended.
• Taxes: You are responsible for all applicable taxes. Prices shown do not include taxes unless stated otherwise.

ScapeHQ.green and its licensors own all right, title, and interest in the platform, including all software, designs, trademarks, trade names, and content ("ScapeHQ.green IP"). These Terms do not grant you any ownership rights in ScapeHQ.green IP.

You retain full ownership of all data and content you input into the platform ("Customer Data"). You grant ScapeHQ.green a limited, non-exclusive license to use Customer Data solely to provide, maintain, and improve the Services. We will not use your Customer Data for any other purpose without your consent.

You agree not to copy, modify, distribute, sell, or create derivative works from ScapeHQ.green IP without our express written permission.

To the maximum extent permitted by applicable law, ScapeHQ.green shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from or related to your use of the Services.

Our total aggregate liability to you for any claims arising under these Terms shall not exceed the greater of (a) the amount you paid to ScapeHQ.green in the 12 months preceding the event giving rise to the claim, or (b) one hundred US dollars ($100).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the extent permitted by law.

Either party may terminate these Terms at any time. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period — you retain full access until then.

We may suspend or terminate your account immediately and without notice if you:

• Violate any provision of these Terms
• Engage in fraudulent, abusive, or illegal activity
• Fail to pay amounts owed after a cure period

Upon termination, your right to access the Services ceases immediately. We will retain your data for 90 days post-termination, during which you may request an export. After that period, your data will be permanently deleted.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising under these Terms shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction to prevent irreparable harm.
